Position Overview

NANO Nuclear is seeking an entrepreneurial and business-oriented Corporate Counsel to support the Company's continued growth and strategic initiatives. The Corporate Counsel will serve as a key member of the Company's legal team and provide practical legal support across a broad range of corporate, commercial, governance, operational, and regulatory matters. This position will work closely with executive leadership, business leaders, in-house and external legal advisors to support the Company's business objectives while helping identify, manage, and mitigate legal risk.

The ideal candidate will have approximately 4–7 years of experience in corporate law, commercial transactions, M&A, and will be comfortable operating in a fast-paced, entrepreneurial environment.

This role will provide counsel to Company management and Legal Department, coordinate with external legal counsel, and take ownership of legal projects  within the Legal Department with drafting, research, and other tasks. Candidates must have excellent analytical, communication, legal research and writing skills.

Responsibilities

Corporate and Strategic Transactions

  • Assist with acquisitions, strategic partnerships, investments, and other corporate transactions.
  • Conduct legal due diligence and coordinate transaction-related activities with internal and external stakeholders.
  • Review, analyze, and summarize transaction documents and provide recommendations regarding legal and business risks.
  • Support corporate development and growth initiatives across the Company's various business lines.

Commercial Contracting

  • Draft, review, negotiate, and manage a broad range of commercial agreements, including:
  • Provide practical legal guidance to business stakeholders regarding contractual obligations and risk allocation.

o    Vendor and procurement agreements

o    Consulting and professional services agreements

o    Confidentiality agreements

o    Technology and licensing agreements

o    Strategic partnership agreements

o    Commercial services contracts

Corporate Governance and Public Company Support

  • Support corporate governance activities, including preparation and maintenance of corporate records, resolutions, and governance documentation.
  • Coordinate with outside securities counsel regarding public company compliance matters.
  • Assist with board and committee meeting preparation and related corporate governance processes.
  • Help maintain compliance with applicable corporate policies and governance requirements.

Operational and Business Support

  • Partner closely with the Director of Operations and Management team to support day-to-day business activities.
  • Advise internal stakeholders on legal implications of operational decisions and strategic initiatives.
  • Identify legal and commercial risks associated with new business opportunities and operational activities.
  • Assist with implementation of internal policies, procedures, and compliance initiatives.

Regulatory and Compliance Matters

  • Monitor legal and regulatory developments affecting energy, technology, transportation, manufacturing, and nuclear sectors.
  • Coordinate with outside counsel and consultants regarding regulatory matters.
  • Support company compliance initiatives and internal controls.
  • Assist in responding to legal inquiries, audits, investigations, and regulatory requests as needed.

Required Qualifications

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in good standing in at least one U.S. jurisdiction.
  • Approximately 4–7 years of combined law firm and in-house corporate experience
  • Experience in corporate law, mergers and acquisitions, commercial transactions, corporate governance, or related areas.
  • Strong business acumen, and ability to understand and focus on the Company’s business priorities.
  • Strong legal research, drafting, negotiation, and analytical skills.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple projects and priorities with little to no supervision.

Preferred

  • Licensed to practice in the State of New York
  • Experience working with emerging growth companies, public companies, or venture-backed businesses.
  • Familiarity with securities law, corporate governance, or public company compliance matters.
  • Experience supporting energy, technology, infrastructure, manufacturing, aerospace, defense, or other regulated industries.
  • Prior in-house experience.
  • Demonstrated entrepreneurial mindset and business-oriented approach to legal problem-solving and comfort operating in a lean, evolving legal environment.
